Axyn Fitness — Terms of Service

These Terms of Service ("Terms") govern your use of the Axyn Fitness mobile application (the "App"), operated by Lumiq Labs LLC ("Axyn," "we," "us," or "our"). By creating an account or using the App, you agree to these Terms. If you do not agree, do not use the App.

1. Eligibility

You must be at least 16 years old to use the App. By using it, you confirm that you meet this requirement and that the information you provide is accurate.

2. Your account

You are responsible for the activity under your account and for keeping your login credentials secure. Provide accurate information and keep it up to date. Notify us at legal@axynapp.com if you believe your account has been used without your authorization.

3. License to use the App

Subject to these Terms, we grant you a personal, limited, non-exclusive, non-transferable, revocable license to use the App for your own personal, non-commercial fitness and nutrition use. You may not copy, modify, distribute, sell, rent, reverse-engineer, or attempt to extract the source code of the App, except to the extent this restriction is prohibited by law.

4. Subscriptions and billing

The App offers an optional auto-renewable subscription, Axyn Pro, on a monthly or annual basis. The current price and billing period are shown in the App before you purchase and are charged through your Apple App Store account.

• Auto-renewal. Your subscription renews automatically at the end of each billing period unless you cancel at least 24 hours before the end of the current period. Your account is charged for renewal within 24 hours before the period ends.
• Free trial. If a free trial is offered, it automatically converts to a paid subscription at the end of the trial unless you cancel at least 24 hours before the trial ends. Any unused portion of a free trial is forfeited when you purchase a subscription.
• Managing and cancelling. You can manage or cancel your subscription at any time in your Apple App Store account settings. Deleting the App does not cancel your subscription.
• Payments and refunds. Payments are processed by Apple and are subject to Apple's terms. Refunds are handled by Apple in accordance with its policies; we do not separately process payments or issue refunds.

5. AI-generated content

The App uses automated systems, including third-party AI providers, to generate training programs, meal plans, nutrition estimates, coaching guidance, and similar content. This content is generated automatically and may be inaccurate, incomplete, or unsuitable for your individual circumstances. It is provided for general informational purposes only, is not professional advice, and should not be relied upon as such. You are responsible for evaluating its suitability and for any decisions you make based on it.

6. Health and fitness disclaimer

Axyn is not a medical device and does not provide medical advice. The App's content — including workouts, calorie and macro targets, meal plans, and supplement information — is for general fitness and informational purposes only and is not a substitute for advice from a qualified physician, dietitian, or other healthcare professional. Consult your doctor before starting any exercise or nutrition program, particularly if you have a medical condition, are pregnant, or take medication. Stop exercising and seek medical attention if you experience pain, dizziness, or discomfort. You use the App and undertake any activity it suggests at your own risk.

7. Acceptable use

You agree not to use the App to: violate any law; infringe the rights of others; upload unlawful, harmful, or infringing content; interfere with or disrupt the App or its security; attempt to gain unauthorized access to the App or to other users' data; or use the App in any manner not permitted by these Terms.

8. Your content and our intellectual property

You retain ownership of the information and content you submit ("Your Content"). You grant us a limited license to host, process, and use Your Content as needed to operate and provide the App to you, as described in our Privacy Policy. The App — including its software, design, text, and branding — is owned by Lumiq Labs LLC and protected by intellectual-property laws. These Terms do not transfer any ownership in the App to you.

9. Third-party services

The App relies on third-party services, including Apple, cloud-infrastructure providers, and AI providers. Your use of those services through the App may be subject to their own terms, and we are not responsible for third-party services or their availability.

10. Disclaimers

The App is provided "as is" and "as available," without warranties of any kind, whether express or implied, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the App will be uninterrupted, error-free, or secure, or that any content it generates will be accurate or reliable.

11. Limitation of liability

To the maximum extent permitted by law, Lumiq Labs LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or goodwill, arising out of or relating to your use of the App. To the maximum extent permitted by law, our total liability for any claim arising out of or relating to the App will not exceed the greater of the amount you paid us in the twelve months before the claim or fifty US dollars (US$50). Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.

12. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Lumiq Labs LLC from any claims, damages, losses, or expenses arising out of your misuse of the App or your violation of these Terms or of applicable law.

13. Termination

You may stop using the App and delete your account at any time from within the App. We may suspend or terminate your access if you violate these Terms or use the App in a way that could harm us, other users, or third parties. Provisions that by their nature should survive termination will survive.

14. Changes to the App and these Terms

We may modify or discontinue features of the App, and we may update these Terms from time to time. When we make material changes to these Terms, we will revise the effective date and provide notice within the App. Your continued use of the App after changes take effect means you accept the updated Terms.

15. Governing law

These Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-laws rules. Any dispute not resolved informally will be subject to the exclusive jurisdiction of the state and federal courts located in Wyoming, to the extent permitted by applicable law. Before filing any claim, you agree to first contact us at legal@axynapp.com so that we can try to resolve it informally.
